Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and SPACEXPLORATION LLC ("SPACEXPLORATION", "we", "us", or "our") and govern your access to and use of the SPACEXPLORATION website, applications, APIs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.

1. Who We Are

SPACEXPLORATION is a commercial real estate listings and search platform. We provide a marketplace where brokers and owners publish listings and where buyers, tenants, and the agents working on their behalf can search for commercial property.

2. We Are Not a Real Estate Broker

SPACEXPLORATION is a neutral advertising and listings platform. We are not a real estate broker, agent, or firm; we are not a party to any transaction, lease, or agreement between users; and we do not represent any buyer, seller, landlord, tenant, or broker. We do not create, verify, endorse, or guarantee any listing, price, financial figure, or other information on the Service. Any dealings you have with another user — including negotiation, due diligence, and closing — are solely between you and that user. You are responsible for your own independent verification and for engaging your own licensed professionals.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using it, you represent that you meet these requirements and that any information you provide is accurate and current.

4. Your Account

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at [email protected] of any unauthorized use. You may sign in using a third-party provider (such as Google); your use of that sign-in is also subject to that provider's terms.

5. Listings and User Content

You retain ownership of the listings, photos, documents, and other content you submit ("User Content"). You are solely responsible for your User Content, including its accuracy and legality and for ensuring you hold all rights necessary to publish it.

By submitting User Content, you grant SPACEXPLORATION a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt (for formatting and display), publish, publicly display, and distribute that content for the purposes of operating, promoting, and improving the Service — including displaying your listings to users and agents, featuring them in our marketing, and syndicating them to partners and search engines. This license ends when you delete the User Content or close your account, except for content already shared with others (such as an inquiry you sent to a broker), content retained in backups or logs, and the limited rights needed to operate the Service.

You represent that your User Content does not infringe any third party's rights and is not false, misleading, discriminatory, or unlawful.

6. Acceptable Use

You agree not to:

  • post listings or information that is false, misleading, fraudulent, or that you are not authorized to post;
  • infringe the intellectual property, privacy, or other rights of others;
  • access, scrape, harvest, or copy the Service or its data by automated means except as expressly permitted in Section 7;
  • reverse engineer, interfere with, disrupt, or attempt to gain unauthorized access to the Service or its security;
  • use the Service to send spam or unsolicited communications, or to harvest contact information for those purposes; or
  • misuse broker or owner contact information, including for marketing unrelated to a genuine interest in a listing.

7. Automated and Agent Access

SPACEXPLORATION is built to be used by software and AI agents as well as people. You may access the Service through our official, documented interfaces — including our Model Context Protocol ("MCP") endpoint and APIs — subject to these Terms, our published authentication requirements, and any rate limits or usage policies we set. An agent acting on your behalf is your agent, and you are responsible for its actions under your account as if they were your own.

Outside of those official interfaces, you may not scrape, crawl, or extract data from the Service, circumvent any access controls or rate limits, or use the Service in a way that places an unreasonable load on our infrastructure. We may suspend or revoke automated access that violates these Terms.

8. Fees and Future Paid Features

The Service is currently free to use. We may introduce paid features in the future — such as promoted or featured listings, advertising, or premium reports. If we do, we will present the applicable pricing and any additional terms before you incur a charge, and those terms will supplement these Terms. We may also display advertising on the Service.

9. Our Intellectual Property

The Service — including its software, design, text, graphics, logos, and the "SPACEXPLORATION" name and marks — is owned by SPACEXPLORATION or its licensors and is protected by applicable laws. Except for the limited rights to use the Service under these Terms, we grant you no rights in our brand, technology, or content. The structured attribute registry and other data we make available to connected agents may be used only as described in our documentation.

10. Copyright and Takedowns (DMCA)

We respect intellectual property rights and respond to notices of alleged infringement. If you believe content on the Service infringes your copyright, send a written notice to our designated agent at [email protected] that includes: your contact information; identification of the copyrighted work; identification of the allegedly infringing material and where it appears on the Service (such as the listing URL); a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act on the owner's behalf; and your physical or electronic signature. We may remove allegedly infringing content and terminate repeat infringers.

11. Third-Party Services and AI Features

The Service relies on third-party providers and offers AI-powered features (such as natural-language search, listing-copy drafting, document extraction, and automated photo moderation). How these features process your information is described in our Privacy Policy. AI-generated output may be inaccurate or incomplete; you are responsible for reviewing it before relying on or publishing it. Listings, market data, parcel data, and maps may come from or be enriched by third-party sources and are provided without any warranty of accuracy.

12. Disclaimers

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any listing, price, financial metric, or market data is accurate, complete, or current.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SPACEXPLORATION AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless SPACEXPLORATION and its officers, members, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your User Content, your use of the Service, or your violation of these Terms or of any law or third-party right.

15. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.

16. Dispute Resolution; Arbitration; Class-Action Waiver

Please read this section carefully — it affects your legal rights.

Most concerns can be resolved by contacting us first at [email protected], and you agree to try to do so before starting a formal proceeding.

You and SPACEXPLORATION agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by a recognized arbitration provider, rather than in court — except that either party may bring an individual claim in small-claims court or seek injunctive relief to protect intellectual property. The arbitration will take place in Colorado or another mutually agreed location, and judgment on the award may be entered in any court of competent jurisdiction.

YOU AND SPACEXPLORATION AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU WAIVE ANY RIGHT TO A JURY TRIAL. If this class-action waiver is found unenforceable as to a dispute, the rest of this Section will not apply to that dispute, which will proceed in court.

17. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. Subject to Section 16, the state and federal courts located in Colorado will have exclusive jurisdiction over any dispute not subject to arbitration.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by other reasonable means and update the "Last updated" date above. Your continued use of the Service after the changes take effect constitutes acceptance.
